Ladies Who Launch (“LWL” or “we” or “our”) is excited to announce a grant award program designed to support women and non-binary-owned businesses to scale their businesses (the “Program”). If you choose to apply for a grant under this Program, you agree to the following terms:
How to Apply
To apply for a grant, you will need to complete the online application form during the application period. We are only accepting applications submitted through this form. An application must be received prior to the end of the application period to be valid. Limit one entry per person/email address/business. You must fully complete, submit, and upload all information requested in the application form in order to be eligible for consideration.
Applicants are solely responsible for Internet connectivity, software and/or hardware that may be required in order to create and/or submit their application. Applications, including attachments, that do not comply with these terms and/or are incomplete or inaccurate will not be eligible for consideration.
Application Period
The application period for the Program begins at 6:00 AM (PT) on February 24, 2022, and is scheduled to end at 11:59 PM (PT) on March 27, 2022, but we may choose to shorten or lengthen this period in our sole discretion and without notice.
Eligibility
To be eligible to apply, you and your business must meet all of the following criteria as of the first day of the application period. We presented you with a high-level version of these criteria during the application process but to the extent of any conflict or inconsistency between what was presented to you and the criteria in these terms, these terms control.
Applicant Criteria: Must be a founder that is a woman or non-binary person, Founder must own 51% or greater stake in the business as of the application due date (3/27/22), Applicant must be a legal resident and citizen of the United States, Applicant must be 21 years or older as of the application due date (3/27/22), Must have a team that is made up of 51% or more women, femme, or non-binary people, Proficient in English.
Business Criteria: Business must be incorporated, located, and operate in the United States, Consumer-based products / business (Direct to Consumer, Business to Business) excluding Finance, Healthcare, Technology, Logistics & Manufacturing, 2021 gross revenue of $75K - $2M USD, Business must not have previously raised funding from venture capital firms, For-profit companies in business since or prior to January 1, 2020, Staff size between 2 and 30 employees (full-time, part-time, independent contractors).
Not Eligible: The aim of this grant is to help independent small businesses and entrepreneurs - locations owned by publicly-traded corporations do not qualify, Nonprofit organizations do not qualify, Subsidiary businesses or franchisees do not qualify.
Grant Awards
Each grant award (in each instance, the “Award”) will be $10,000 USD, and we reserve the right to determine, in our sole discretion, how much to allocate if and when we grant an Award and to whom each Award is granted (in each instance, a “Recipient”).
Any Award shall be subject to the terms of a separate grant agreement, which a potential Recipient will be required to sign, and you agree that, by applying for a grant, receipt of an Award is conditioned on your execution of that grant agreement.
The Award will be sent to the Recipient in the form of an ACH wire transfer or such other mechanism as we may choose. All federal, state, and local or other tax liabilities, and other expenses relating to or arising from the acceptance of an Award, are the sole responsibility of each Recipient. Recipients may be issued a 1099 tax form for the actual value of the grant.
An Award is non-transferable and non-assignable. We reserve the right, in our sole discretion, to increase or decrease the value of any Award. If no or an insufficient number of applications meet the minimum eligibility criteria, some or all of the grants may not be awarded or we may choose to increase the value of an Award. We also reserve the right to substitute an award of equal or greater value (to be determined at our sole discretion) if an Award becomes unavailable.
We will notify potential Recipients of an Award by email and/or telephone.
Prior to receiving the Award, a potential Recipient will be required to: (i) provide a W-9 tax form verifying their business tax identification number and other requested tax and banking information necessary for the payment of the Award; and (ii) sign and return a grant agreement, properly executed, within five (5) business days of receipt. If (i) we are unable to contact the potential Recipient within three (3) days from the first notification attempt, (ii) the potential Recipient fails to promptly provide, complete, and return all requested documentation, and/or (iii) the potential Recipient fails to comply with any of the requirements in these terms, we may deem that application to be ineligible, and, at our discretion, we may choose to grant the Award to a substitute recipient.
All decisions we make with respect to an Award, and all other matters pertaining to the Program are final and binding and cannot be appealed or challenged.
How We Evaluate Your Application
We will evaluate eligible applications based on the following criteria, the weighting of which will be determined at our sole discretion:
Demonstrated need;
Proposed use of funds and ability to scale your business;
Meeting the eligibility requirements outlined in these terms; and
Focus on minority-owned businesses and business owners
We may contact you with requests for additional information regarding your application. Failure to provide this information may result in disqualification.
Your Promise
By applying for a grant under this Program, you represent and warrant that: if selected as a Recipient, you will use the grant solely for legitimate business expenses and for the purposes expressed in your application; the materials submitted in your application are original and have been created by you and/or that you have secured all necessary rights and permissions in the event they were created by someone else; you and your business meet the eligibility criteria above;
You will not seek any financial damages from LWL for any claim, dispute, or cause of action in connection with or arising out of the Program; your application does not contain any computer virus, does not and will not violate any applicable laws, and is not and will not be defamatory or libelous; and your business is not the subject of any actual or threatened litigation or claim.
Limitation of Liability
LWL and its respective officers, directors, shareholders, employees, volunteers, agents, insurers, and contractors are not responsible for: any incorrect or inaccurate entry information; human error; technical malfunctions; failures, omission, interruption, deletion, or defect of any telephone network, computer online systems, computer equipment, server providers, or software, including any injury or damage to your or any other person’s computer relating to or resulting from participation in this Program; inability to access our website(s) or application form; theft, tampering, destruction, or unauthorized access to, or alteration of entries; transactions that are processed late or incorrectly or are incomplete or lost due to computer or electronic malfunction or traffic congestion on the Internet or at any web site; printing or human or other errors; and any applications which are late, lost, incomplete, misdirected, stolen, or any combination thereof. Online submission is not considered proof of delivery or receipt. We reserve the right, in our sole discretion, to cancel, terminate, modify or suspend an Award at any time and without notice.
By submitting an application, you agree to release, discharge, indemnify, defend, and hold harmless LWL and its respective officers, directors, shareholders, employees, volunteers, agents, insurers, and contractors from and against all claims and damages or liability arising in connection with your participation and/or entry in the Program and/or your receipt or use of an Award or due to any injuries, damages or losses to any person (including death) or property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of an Award or participation in the Program or any Program-related activity or your breach of these terms.
Your Privacy & Confidentiality
Any information provided by you as part of the application process or otherwise in connection with the Program will be treated in accordance with our Privacy Policy.
By submitting an application, you acknowledge to have read and you agree to our privacy policy and that you may receive communications and other promotional materials from us. If you provide us with the personal information of any other individual as part of your application, it is your responsibility to obtain consent from that individual prior to providing such information to us.
All non-public business and financial information you provide as part of the application will be kept confidential.
Additional Terms
Disqualification. We may disqualify any applicant that submits any material as part of its application that is, in our sole determination: (a) indecent, obscene, hateful, discriminatory, defamatory, slanderous, libelous, unlawful, or otherwise inappropriate; (b) is submitted in bad faith or otherwise violates these terms; or (c) is submitted by an applicant who is ineligible to apply.
Disputes About Who Submitted an Application. If there is a dispute about who submitted an application, the authorized account holder of the email address used to register will be deemed to be the applicant and the business identified in the application will be deemed the business. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, or other organization responsible for assigning email addresses for the domain associated with the submitted address.
Program Suspension or Cancellation. If the Program is not capable of running as planned for any reason, including, without limitation, as a result of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Program, we reserve the right, in our sole and absolute discretion, to cancel, terminate, modify or suspend the Program.
In the event that the Program is challenged by any legal or regulatory authority, we reserve the right to discontinue or modify the Program, or to disqualify applicants residing in the affected geographic areas. In such an event, we shall have no liability to any applicant who is disqualified due to such an action. We reserve the right to disqualify any applicant that in our sole judgment violates the letter or the spirit of the Program or could reflect negatively on our image and/or reputation.
Modification. We reserve the right to modify these terms and the Program at any time and without notice to you in order to better achieve the Program’s purpose as determined by us at our sole discretion. Our failure to enforce any of these terms shall not constitute a waiver of that provision.
Informal Dispute Resolution and Arbitration. You and LWL agree that any and all disputes arising out of or in any way relating to the Program shall be resolved according to California law and exclusively by binding arbitration before a single arbitrator with the Judicial Arbitration and Mediation Service (JAMS) and pursuant to the then-existing arbitration rules at JAMS. If the parties cannot agree upon the selection of an arbitrator, then JAMS shall appoint an arbitrator. The place of the arbitration will be San Francisco, California. The arbitration will be conducted in English. Judgment upon any such award may be enforced in any court of competent jurisdiction. The parties further agree that the prevailing party in any action or proceeding to enforce any right or provisions under this Agreement, including any arbitration or court proceedings, will be entitled to recover its reasonable costs and attorneys’ fees.
Governing Law. This Agreement and any disputes arising under it will be governed by the laws of the State of California without regard to its conflict of laws provisions, and each party consents to the personal jurisdiction and venue of the state or federal courts located in San Francisco, California
